CONSTITUTION OF NATCA ENGINEERS ALASKA

ARTICLE I. Name

The name of this organization shall be NATCA Engineers and Architects Alaska, constituting a local of the National Air Traffic Controllers Association, herein after referred to as the Local.

ARTICLE II. Objectives

The objectives and purposes of this Local shall be:

(1) To improve the working conditions of Engineers and Architects, herein after referred to as Engineers, employed by the Federal Aviation Administration of the United States of America;

(2) To represent the Engineers in dealing with the Federal Aviation Administration, its practices, and other matters;

(3) To preserve, promote, and improve the professionalism, competence, and integrity of the Engineers;

(4) To enhance the safety of the National Airspace System through effective and efficient engineering of facilities and equipment;

(5) To improve the reliability, availability, and maintainability of National Airspace System facilities and equipment by utilizing the Engineers¼ education and expertise;

(6) To preserve, promote, and maintain the best interests of the United States of America, particularly its international leadership role in the aviation community, and;

(7) To preserve, promote and improve the rights of the Engineers through all lawful means, including collective bargaining, political action, and contributing to such civic and charitable organizations as the National Executive Board deems in the best interest of the National Air Traffic Controllers Association.

ARTICLE III. Membership

Section 1. Engineers shall be admitted into membership subject to and in accordance with the applicable provisions of the National Constitution, and such rules as may be adopted by the National Executive Board.

Section 2. Members shall be entitled to all the rights and privileges of membership in the Local and shall be subject to such duties and responsibilities, including the payment of dues, as provided in the National Constitution or as may be established by the Local.

Section 3. Membership in the Local shall be limited to those Engineers serving within that Local's area of jurisdiction. Only members in good standing of the Local may serve as officers of the Local.

ARTICLE IV. Structure of Local

Section 1. The officers of this Local shall be President, Vice President for ANI-700, Vice President for AAL-400, Secretary, and Treasurer. At the option of the Local, the offices of Secretary and Treasurer may be combined into one office.

Section 2. There shall be an Executive Board consisting of the President, Vice Presidents, Secretary, and Treasurer, and two additional members to be appointed by the elected officers.

ARTICLE V. Committees

Section 1. At the option of the Local, the following committees may be established:

(1) Contract (2) Membership (3) Balloting

Section 2. Chairpersons of committees will be appointed by the President of the Local. The term of office for chairpersons of committees shall be one year.

Section 3. Special committees, as deemed necessary, may be established by the Executive Board.

ARTICLE VI. Duties and Powers of Officers and Committees

Section 1. The President shall be the executive head of the Local and shall: preside at all meetings of the Local; maintain contact with national officers; countersign all checks drawn against the funds of the Local; oversee the functioning of all committees; brief new employees on the goals and functions of the National Air Traffic Controllers Association and provide them with membership information; and attend all national conventions as a primary delegate to represent the opinions of the Local.

Section 2. The Vice Presidents shall assist the President in the discharge of his or her duties and shall perform other appropriate duties as assigned by the President or by the Executive Board.

Section 3. The Secretary shall keep a record of the proceedings of the Local, its meetings, and all matters of which a record may be deemed advisable and shall: make these records available for inspection at all reasonable times to any member; keep a list of names, addresses, and phone numbers of all members; keep and file all documents, records and communications connected with the business of the Local. At the expiration of his or her term of office the Secretary shall turn over to his or her successor all documents and records pertaining to the office.

Section 4. The Treasurer shall keep a record of all financial transactions and be responsible to the President for all monetary matters pertaining to the Local and shall: countersign all checks drawn against the funds of the Local; keep adequate records, which shall be available for inspection by any member at any reasonable time; and perform other appropriate duties as assigned by the President. At the expiration of his or her term of office the Treasurer shall turn over all monies, records, and documents pertaining to the office.

Section 5. The Executive Board shall exercise general supervision and control over the business, funds, and property of the Local. It shall have the authority to act in the name of the Local during intervals between meetings, such acts being subject to confirmation by the membership at the next regular meeting of the Local. It shall have regularly-scheduled meetings. It shall have special meetings at the call of the President or on call signed by one-half or more of its members. A majority shall constitute a quorum, which shall be a minimum of three officers present.

Section 6. Responsibilities and duties of the various committees shall be established in the Bylaws of the Local. If the Local chooses not to have any or all of the committees, the duties of these committees shall be distributed at the discretion of the Executive Board.

Section 7. If the President or a Vice President is unavailable to attend the National Convention, the Secretary has the option to attend, followed by the Treasurer. If none of the above can attend, a vote of the membership will determine who will attend. The Local will absorb the necessary expenses of its representative at the National Convention. More than one representative may attend at the option of the Local.

Section 8. Officers and employees of the Local shall be bonded, if required by law, at the expense of the Local.

ARTICLE VII. Terms of Officers and Committees

Section 1. The President, Vice Presidents, Secretary, Treasurer and members of the Executive Board shall hold office for a two-year period, commencing the second Sunday of April. The only exception to this is the first year of the formation of the Local, in which the period shall run until the first regular election. There shall be no restrictions on the number of terms that may be held.

Section 2. In the event of a vacancy in the office of the President, the Vice President for ANI-700 shall assume the office of the President until a special election for the office of President can be scheduled, or the next regular election, whichever is sooner. In the event of a vacancy in the office of a Vice President, Secretary, Treasurer, or other member of the Executive Board, the Executive Board shall appoint a member to fill the vacancy until the next regular election.

ARTICLE VIII. Impeachment of Officers and Sanction of Members

Section 1. An officer of the Executive Board of the Local may be removed from office for serious misconduct by a two-thirds vote of the membership present at a regularly scheduled meeting.

Section 2. A member of the Local may be removed from membership in accordance with the National Constitution.

ARTICLE IX. Meetings

Section 1. There shall be a minimum of one regular meeting of the membership each quarter. Additional or special meetings may be called at the discretion of: the President; a signed call of the majority of the Executive Board; or a signed call of the majority of the membership.

Section 2. A minimum of fifteen calendar days notice shall be given to the members of any regular or special meeting.

Section 3. A quorum shall consist of those members present at the meeting.

ARTICLE X. Nominations and Elections

Section 1. The Balloting Committee shall determine the need for an election. An election shall be required only where two or more eligible candidates desire the same office.

Section 2. Nominations for officers shall be made at a special nominating meeting or at the regularly scheduled meeting in January of each odd year, except for the first year of the Local, 1998. The Balloting Committee shall present their recommended candidates for each office.

Section 3. The Balloting Committee shall accept nominations by the floor from members in good standing. No self-nominations shall be permitted.

Section 4. Election of officers shall be completed by March 31 of the election year. The Balloting Committee shall issue ballots by March 1 and close the ballot box at midnight on March 31. Ballots for elections shall be accepted via U.S. Mail only. Write-in candidates shall not be permitted.

Section 5. The winners of the election shall be the candidates receiving the most votes. In the event of a tie for any office, a vote by the newly elected officers shall determine the winner at the next regular meeting following the election. The President's vote may count as two votes to break a tie.

Section 6. In the event of a tie for President, the newly elected Vice President for ANI-700 shall assume the office of President until the newly elected officers render a decision regarding the office of the President. The Vice President¼s vote may count as two votes to break a tie.

Section 7. All balloting shall be by secret ballot and in accordance with regulations established by the Department of Labor.

ARTICLE XII. Amendments

This Constitution may not be amended except upon direction by the National Executive Board and/or in accordance with the provisions of the National Constitution.

ARTICLE XIII. Governing Rules

Section 1. In the event this Constitution is in conflict with the National Constitution, the National Constitution shall prevail.

Section 2. All regular and special meetings of the Local shall be governed by the National Constitution, by this Constitution, and by Robert's Rules of Order.
